Real Madrid’s long-discussed ambition to modify its ownership model has taken a concrete step forward, with President Florentino Pérez initiating the process to potentially bring in a private investor. The club has established a new commercial entity, Real Madrid Madridistas SL, signaling a strategic move towards this proposed change.

Proposed Stake Sale

The core of Florentino Pérez’s vision involves allowing a private investor to acquire between 5% and 10% of the club’s ownership. The remaining majority stake would continue to be held by the club’s socios, or members, maintaining the traditional ‘socios’ ownership model that has long defined Real Madrid. This initiative has been on the agenda for some time, but its implementation has now begun with the formation of the new company.

New Commercial Entity Established

According to reports from The Objetive and Esdiario, Florentino Pérez has officially created Real Madrid Madridistas SL. This new company was formed through the transformation and renaming of an existing entity, Velvet ALM SL. The sole shareholder of Real Madrid Madridistas SL is the Real Madrid Club de Fútbol itself, with José Ángel Sánchez Periáñez, the club’s director general, serving as its sole administrator.

Registered Details of the New Holding Company

The company, Real Madrid Madridistas SL, is registered with its social headquarters at the Santiago Bernabéu stadium, located at Avenida Concha Espina, 1. Its stated objective in the Mercantile Registry is “the constitution, participation by itself or indirectly in the constitution and control of other companies and societies.” This structure indicates that Real Madrid Madridistas SL will function as a holding company, overseeing other businesses owned by Real Madrid.

Strategic Alignment with Ownership Goals

This move appears to be directly aligned with Florentino Pérez’s stated objective of altering the club’s ownership model. Real Madrid already operates several specific business entities, including Aparcamientos del Santiago Bernabéu SL, which manages stadium parking and is 98% owned by the club with a 2% stake held by SABA. Additionally, Real Madrid Estadio SL is involved in the operations of the new Bernabéu stadium, and Real Madrid Beijing Co., Ltd focuses on brand development in China. The creation of Real Madrid Madridistas SL suggests a centralized approach to managing these diverse commercial interests and facilitating future investments.

Path Forward for Socios Approval

For this proposed change in ownership structure to become a reality, Florentino Pérez must convene an assembly of the club’s socios. During this assembly, the operation will be presented and explained. Following the assembly, a referendum will need to be held, requiring an absolute majority of socios’ votes to approve the changes. As of now, no specific dates have been set for either the assembly or the subsequent referendum, indicating that the process is still in its early stages.
